All quotations are based on the scope, functionality, requirements, and assumptions documented at the time of quotation. Unless expressly stated otherwise:

  • Prices are stated in the currency specified in the proposal.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate project information, requirements, and instructions.
  • Supply necessary text, images, logos, product details, and other content.
  • Provide lawful access to relevant accounts, systems, and platforms.
  • Review designs, development milestones, and deliverables within agreed timeframes.
  • Obtain all necessary permissions and licences for supplied materials.

  • Ensure that the intended use of the website or application complies with applicable law.

Delays in providing information, approvals, access, or payments may affect project timelines. We are not responsible for delays caused by the Client or by circumstances beyond our reasonable control.

6. Project Timelines and Revisions

Estimated delivery dates are based on the approved project scope, timely Client cooperation, and the availability of required resources. Timelines may change because of scope revisions, delayed feedback, third-party dependencies, technical complications, or other reasonable circumstances.

The number of design concepts, revision rounds, and included changes will be specified in the relevant proposal where applicable. Requests outside the agreed scope may require additional fees and revised delivery dates.

7. Client Approval and Project Acceptance

The Client is responsible for reviewing designs, functionality, content, and deliverables before providing approval. Approval may be given in writing, by email, through an agreed project management system, or by another documented method.

Any testing, acceptance criteria, review periods, or deemed-acceptance provisions must be stated in the applicable project agreement. Silence or failure to respond will not automatically constitute acceptance unless a valid contractual provision and applicable law permit it.

8. Intellectual Property and Ownership

Unless otherwise stated in writing:

  • Each party retains ownership of intellectual property it owned before the project.
  • Interactive Webtech retains ownership of its pre-existing tools, reusable code, frameworks, methods, templates, know-how, and internal development materials.
  • Ownership or licensing rights in custom deliverables will be determined by the applicable proposal or contract.
  • Where a contract provides for transfer of ownership after full payment, that transfer will occur according to the contract.
  • Third-party software, plugins, fonts, stock images, APIs, and other licensed materials remain subject to their respective licence terms.
  • The Client is responsible for obtaining permissions for materials it supplies to us.

We will not knowingly transfer rights that we do not own or have authority to transfer.

9. Confidentiality

Both parties should take reasonable steps to protect confidential business information exchanged during a project. Confidential information should be used only for the relevant business purpose and should not be disclosed to unauthorized parties, except where disclosure is authorized, necessary for service delivery under appropriate safeguards, or required by law.

This section does not apply to information that is lawfully public, independently developed, already lawfully known, or lawfully obtained from another source without a confidentiality obligation. Any separate non-disclosure agreement will apply according to its terms.

10. SEO and Digital Marketing Disclaimer

SEO and digital marketing outcomes depend on factors that may be outside our control, including:

  • Search engine algorithm changes.
  • Competition and market conditions.
  • Website history and technical condition.
  • Search engine indexing and platform policies.
  • Advertising account restrictions or disapprovals.
  • Client approvals, content, and implementation decisions.
  • Third-party service availability.

We do not guarantee specific search rankings, website traffic, leads, conversions, sales, or revenue unless an express written guarantee is included in the applicable signed agreement.

Reports, forecasts, keyword research, and performance estimates are provided to support decision-making and should not be treated as guaranteed outcomes. Advertising spend paid to advertising platforms is separate from our management fees unless expressly agreed otherwise.

11. Third-Party Services

Our projects may rely on third-party platforms and providers, including hosting companies, domain registrars, payment gateways, app stores, analytics platforms, advertising networks, software vendors, and external APIs. Third-party services may change their prices, terms, technical requirements, or availability.

Unless expressly agreed otherwise, we are not responsible for independent third-party outages, policy decisions, account suspensions, price increases, or service interruptions. We will, however, address responsibilities expressly assigned to us under the relevant agreement and applicable law.

12. Website Availability and Security

We take reasonable steps to maintain our website and protect our systems. However, we cannot guarantee uninterrupted access or absolute security against every cyberattack, software vulnerability, or technical failure.

Clients are responsible for protecting their account credentials and using appropriate access controls. Any security measures included in a project will be defined by the relevant agreement.

Hosting uptime commitments, backup frequency, recovery procedures, and service-level guarantees apply only where expressly included in the applicable service agreement.

13. Prohibited Use

You must not:

  • Use our website for unlawful, fraudulent, or deceptive purposes.
  • Attempt unauthorized access to our systems or accounts.
  • Upload malicious code or interfere with website functionality.
  • Infringe intellectual property or privacy rights.
  • Misuse our services to distribute unlawful content.
  • Misrepresent your identity or authority to act on behalf of a business.

We may restrict access or suspend relevant services where reasonably necessary to address unlawful activity, security risks, or material contractual breaches, subject to applicable law and the relevant agreement.

14. Refunds and Cancellations

Refunds, cancellations, milestone payments, and outstanding balances are governed by our Refund and Cancellation Policy and any applicable signed project or service agreement. No provision in this policy removes any refund, cancellation, or other right that cannot legally be excluded.

15. Limitation of Liability

To the extent permitted by applicable law, Interactive Webtech will not be liable for indirect, incidental, special, or consequential losses arising from website use or services, including loss of anticipated profits or business opportunities.

Any liability limits applicable to paid services must be stated in the relevant contract and will apply only to the extent legally enforceable. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including any applicable liability for fraud or wilful misconduct.

16. Indemnity

To the extent permitted by law, the Client is responsible for claims arising from materials supplied by the Client, unlawful use of deliverables by the Client, or the Client's material breach of the agreement.

This provision does not apply to the extent a claim results from our own breach, negligence, unlawful conduct, or other circumstances for which the Client cannot legally be required to indemnify us.

17. Suspension and Termination

Either party may terminate a project or service according to the applicable agreement.

Where no separate termination procedure has been agreed, the parties should communicate the proposed termination in writing and address outstanding invoices, completed work, deliverables, third-party costs, access credentials, and any applicable refund entitlement.

We may suspend services where reasonably necessary because of non-payment, unlawful use, serious security risks, or material contractual breaches, subject to appropriate notice where required and applicable law.

18. Governing Law and Disputes

The governing law and dispute-resolution arrangements will be specified in the applicable signed agreement. Where no separate provision applies, disputes will be addressed under the law and by the courts or dispute-resolution bodies that have jurisdiction under applicable law.

Mandatory consumer protection rules and other non-excludable legal rights remain unaffected.

19. Website Disclaimer

The information on this website is provided for general informational purposes. Although we make reasonable efforts to keep information accurate and current, we do not guarantee that every item is complete, error-free, or suitable for every business situation.

Examples of projects, portfolios, case studies, estimated results, and service descriptions are provided for illustrative purposes unless expressly stated otherwise in a signed agreement.

Results from website development, SEO, advertising, and other digital services may vary according to project requirements, market conditions, competition, third-party platforms, and client participation.

Nothing on this website constitutes a guarantee of business performance, revenue, search engine rankings, or advertising results unless a specific written agreement expressly provides otherwise.

20. Changes to These Terms

We may update these Terms and Conditions to reflect changes in our services, business operations, or legal requirements. Updated terms will be published on this page with a revised effective date. Changes to an existing project contract will be governed by that contract and applicable law.

21. Final Legal Notice

These policies should be read alongside any signed service agreement, project proposal, statement of work, data processing agreement, and applicable third-party terms, as well as our Privacy Policy, Refund and Cancellation Policy, and Cookie Policy.

Where mandatory law provides a greater level of protection or imposes a non-excludable obligation, that law will prevail.
